Florida and National Non-Disclosure Agreements

Signing a NDA is a two part process. When you input your information into this form you are agreeing to Florida's Non-Disclosure Policy. Because we are using some of the assets of the National party, they too require you to adhere to their Non-Disclosure Policy. Both agreements are very similar and both are legally binding. People’s Party (FL) Member Organizer Non‐Disclosure Agreement

This Agreement is made between: People’s Party (FL), a state political party, organized as a Florida nonprofit corporation (the “Organization”) and a Florida People's Party Member (the “Member Organizer”). (As used in this Agreement, each individually is a “party” and together are the “parties” to the Agreement.)
Member Organizers for the Florida People’s Party may be entrusted with secret or private information belonging to the Organization. In order to protect the Organization’s proprietary information and the privacy of the Organization’s staff, participants, and supporters, and in consideration of the Organization’s disclosure of the same, the Organization requires Member Organizers to enter into the following Agreement as a material condition of being a Member Organizer and to make clear the obligations and expectations that accompany the very high degree of trust the Organization places in its most important Member Organizers. The parties agree, therefore, as follows:
1. CONFIDENTIAL INFORMATION. As used in this Agreement, “Confidential Information” includes all nonpublic data and information related to the organization and operations of the Organization, including the Organization’s finances, fundraising, budgets, plans, projections, presentations, members, donors, staff, vendors, other contractors, internal communications, strategies, decision‐making, data collections, images, videos, and any documents or other materials any portion of which contains such content.
2. NON‐DISCLOSURE. The Member Organizer acknowledges and agrees that the Organization is the sole and exclusive owner of the Confidential Information described in this Agreement, and the Member Organizer agrees not to disclose in any manner the Organization’s Confidential Information to any person not authorized by the Organization to receive such Confidential Information at any time during the term of the Member Organizer’s participation.
3. DATA ACCESS. The Member Organizer agrees to obtain the prior express consent of the Organization before removing or exporting the Organization’s data from any of the Organization’s software platforms, computer systems, data storage accounts, and other such collections of the Organization’s data.
4. COMPELLED DISCLOSURE. If any person should seek to compel the Member Organizer to disclose Confidential Information pursuant to judicial or other legal process, the Member Organizer shall not be liable for any breach of this People’s Party (FL) Member Organizer Non-Disclosure Agreement in consequence of making such disclosure as is strictly necessary to comply with such process provided that the Member Organizer has notified the Organization in writing of the attempt to compel the disclosure immediately, but in no event more than five (5) days after receiving notice of such effort to compel the disclosure and in any event with sufficient time to permit the Organization a reasonable opportunity to oppose the disclosure sought.
5. INTELLECTUAL PROPERTY. All works produced by the Member Organizer pursuant to the Organizer’s Service Agreement with the Organization and which are within the scope of applicable copyright or other intellectual property laws shall, to the extent permitted by law, be works‐for‐hire, commissioned as a contribution to a collective work, supplementary work, compilation, or instructional text, and to the extent such works are not works‐for‐hire under the applicable law, the Member Organizer hereby grants the Organization a perpetual but non‐exclusive license to use, reproduce, display, or publicize such works and the creation of derivative works based upon them; the Member Organizer shall not thereby acquire any ownership, intellectual property, or other interest in any intellectual property of the Organization derived from or based upon the works produced by the Member Organizer or that the Member Organizer’s work was derived from or based upon.
6. RETURN OF MATERIALS. The Member Organizer agrees that all Confidential Information shall be solely and exclusively the property of the Organization and shall be returned to the Organization upon termination of the Member Organizer’s participation.
7. INJUNCTION. The parties agree that it would be difficult to ascertain monetary damages from any breach of the obligations established by this Agreement and, therefore, any monetary damages would be an inadequate remedy for such breach. Accordingly, the parties agree that, in the event of a breach of this Agreement, the Organization shall be entitled to, in addition to any other remedies it may be entitled to, an injunction or other order to restrain and remedy such breach without showing or proving actual damages sustained by the Organization.
8. SURVIVAL OF OBLIGATION. The parties agree that the termination of the Member Organizer's participation, role or position within the People's Party (FL) Organization shall not release the parties from the obligations prescribed by this Agreement.
9. COUNTERPARTS. The parties agree that the electronic submission of their signature upon this Agreement shall be effective as if they were originals, and the Agreement may be executed by such means in any number of counterparts, all of which taken together shall constitute this one and same Agreement.
