Letter of No Confidence & Request for Resignation

Catherine Hutchinson & Terry Wilson

For months, chapter leaders, CAT leaders, and Board members have raised concerns about financial transparency, fairness, democratic governance, and the direction of our union. Instead of addressing those concerns, leadership has increasingly centralized decision-making, sidelined elected representatives, and treated disagreement as something to be managed rather than heard.

A union is strongest when members trust that their voices matter, their elected leaders are accountable, and the rules apply equally to everyone. The Letter of No Confidence reflects the belief of many elected leaders across the state that those principles have been compromised.

This is not about personalities. It is about whether CSUEU will be governed by collaboration, transparency, and member participation, or by consolidation of power and top-down decision making.

Members deserve to know what is happening in their union. They deserve to have a voice in its future. And they deserve leadership that is focused on building the unity and trust necessary to win strong contracts and defend workers on every campus.

We, the signed below Members of the CSUEU, write to express our lack of confidence in your actions and abilities while serving in your current positions and respectfully request your immediate resignations as, respectively, President and VP for Finance of the CSUEU organization.

This determination follows a sustained pattern of actions which have undermined the Board's ability to carry out its responsibilities and have raised serious concerns regarding adherence to our governing documents, fiduciary obligations, and democratic processes. Your actions harm our members, misappropriate and misdirect their dues, and have eroded their trust in our organization.

We take this collective action in response to your repeated failures to perform the duties of your offices according to the CSUEU Bylaws. We take this collective action in response to your repeated failures to abide by decisions made by the CSUEU Board of Directors, and in response to your blatant disregard to the oversight of your positions outlined in the CSUEU Bylaws.

Ms. Hutchinson - our concerns regarding your actions in office are as follows:

You have repeatedly failed to follow the directions of the Board. The most egregious instance of this relates to your personal stipend. On March 1, the Board of Directors voted to pause stipends to you and other officers pending further review. Despite this action, your personal compensation has continued in a manner inconsistent with that decision.

You have failed to uphold the democratic principles central to the function of our union. Since March 2026, you have attempted, through multiple directives and communications, to hinder the ability of the Board of Directors to meet, deliberate, carry out required oversight and review, and act in accordance with the best practices of a collective bargaining organization.
In multiple instances, you have misrepresented your positions, actions, and expenditures
to the full Board of Directors and to individual members and directors.

You have exceeded your authority repeatedly by:
-cancelling scheduled Board meetings
-refusing to call requested special Board meetings
-refused to accommodate requested Board oversight of financial records
-suspended all governance oversight indefinitely
-attempting to limit Board-wide communications

You have made sweeping changes to the charges of our Labor Relations Representatives without proper and required consultation of the Board of Directors - the direct representatives of our campus members. This leaves CSUEU employees without a trained staff professional to advise and represent on grievances and workplace issues, resulting in widespread dissatisfaction and disengagement with the union.

The use of CSUEU-paid union release time to coerce or punish, bribe or isolate CSUEU members according to personal agenda rather than in support of strategies and efforts created in consultation with the Board of Directors, the Bargaining Teams, and the Unit Councils.

Mr. Wilson - our concerns regarding your actions in office are as follows:

You have repeatedly failed to provide timely and accurate financial reporting. This makes it impossible for the CSUEU Board of Directors to fulfill its fiduciary, oversight, and governance
obligations under the CSUEU Bylaws and Board directors.

Gross misrepresentation of the CSUEU current financial status. A CSUEU expense of nearly $1 million was not reported to the Board of Directors in the fiscal year it was spent. The Board was misdirected and not accurately informed of the outlay and the method in which it was made for more than a year. These actions violate both CSUEU Policy File 502.01 and standard fiduciary practice.

The repeated presentation of incomplete or unclear budget information, eliminating the CSUEU Board of Directors' ability to make informed decisions, including those with significant financial impact.

Failure to appear at Board of Directors' meetings for financial discussions and a lack of
adherence to Finance Committee processes so that the Board is not able to seek clarity of CSUEU finances in order to exercise appropriate oversight.

Delayed or absent responses to Board inquiries. Repeated non-responsiveness has been experienced throughout your tenure as Vice President of Finance. This has hindered and blocked the CSUEU Board of Director members from being able to review financial records, assess fiscal conditions of the CSUEU, and fulfill the Board's duties to make responsible and informed decisions regarding the finances of the CSUEU.

Failure to consistently hold structured Finance Committee meetings and to provide the Board of Directors with timely reports from these meetings and to submit Finance Committee meeting minutes for review.

Accepting CSUEU full-time union release hours for this position without fulfilling Bylaws-required obligations in a timely manner. Accepting union release time without actively engaging in the duties for which that release time is fraudulent behavior.

Beyond these specific issues, Board members are hearing significant concern from across the CSUEU organization, including:

-Dissatisfaction and frustration following the most recent contract
-Lack of clear communication and preparation regarding the 2023 contract implementation, impact, and efforts to hold the CSU accountable to that contract
-Insufficient support and coordination for stewards and representational work

While these issues are complex, they are not isolated. They are connected to leadership practices that have limited transparency, reduced collaboration, made the required concurrence and oversight by the Board of Directors impossible, and constrained the ability of the broader organization to respond effectively. This lack of leadership is materially harmful to members, and should it continue, will stand in the way of our ability to be a strong, united union capable of winning the best contract possible and providing an ongoing structure for the continual improvement of CSUEU members' working conditions and workplace satisfaction.

For these reasons, we have lost confidence in your leadership in your respective roles and believe it is in the best interest of the organization and its members for you to step down.
If you choose not to resign, the Board will consider additional steps to ensure that governance, accountability, and member representation are restored.
